Who we are: Prodred is an AI-native growth execution layer for ecommerce (“Prodred,” “we,” “us”). These Terms form a contract between Prodred and the person or entity using our Services (“you,” “Customer”).

1) What the Service does

  • The execution loop.
    Prodred reads your brand context and your live commerce data, forms a view on what is holding back growth, creates work such as product visuals, video, product detail page copy, landing pages and ad creative, deploys that work to the surfaces you have connected, measures the results, and adjusts what it produces next. This is described in these Terms as the “Loop” (understand, decide, create, deploy, measure, improve).

  • Connected surfaces.
    Deployment happens on your own accounts and properties, for example your store, product catalogue, social accounts and advertising accounts on platforms such as Shopify, Amazon, Meta, Google and TikTok. Prodred does not operate its own storefront or ad network.

  • Continuous operation.
    Where you enable it, the Service runs on an ongoing basis, including outside business hours, without a person confirming each individual step.

2) Using Prodred

  • Eligibility.
    You must be at least 18 and able to form a contract. If you use Prodred for a company, you confirm that you have authority to bind that company.

  • Account.
    Keep your credentials confidential. You are responsible for all activity under your account and for the permissions you grant to users in your workspace.

  • Subscriptions and usage.
    Access is sold as a platform subscription. Usage above the volumes included in your plan is charged on a usage basis. Enterprise arrangements, including additional integrations and managed execution, are set out in a separate order form or agreement, which prevails over these Terms where it conflicts with them.

  • Payments.
    Subscription fees are billed in advance for the period you select. Usage-based charges are billed in arrears. Taxes may apply. Except where required by law or expressly stated, fees are non-refundable.

  • Changes to the Service.
    We may add, change or discontinue features, models and integrations. If a change materially harms your paid use, you may cancel; prepaid periods are not refunded unless required by law.

3) Connected accounts and authorisations

  • You grant the connection.
    To use the Loop you connect your own accounts to Prodred, typically through the platform’s authorisation flow (for example OAuth) or through credentials and access tokens you supply. By connecting an account you instruct and authorise Prodred to access it, to read the data it exposes, and to act within the scopes you approve.

  • Permission to publish.
    Where you enable publishing, you authorise Prodred to create, update, schedule and remove content on the connected surface on your behalf, including product imagery, product detail page content, landing pages, organic posts and advertising creative.

  • Permission to spend.
    Where you enable campaign management, you authorise Prodred to create, change, pause and resume campaigns and to set or adjust budgets and bids within the limits you configure. Spend is charged by the platform to your own payment method under your own platform account.

  • Your accounts remain yours.
    You are responsible for your platform accounts, for maintaining them in good standing, for the rights you hold in the assets and data they contain, and for complying with each platform’s own terms and policies. Platform terms apply to you directly and we are not a party to them.

  • Revoking access.
    You may disconnect an account or narrow its permissions at any time, in Prodred or on the platform itself. Work already published remains in place until you or Prodred remove it, and disconnection may stop parts of the Loop from functioning.

4) Autonomous action, approvals and limits

  • Acting without step-by-step approval.
    Once you enable autonomous execution, Prodred acts on your connected accounts without a person approving each individual action.
    Actions taken within the permissions and limits you have set are treated as taken on your instruction.

  • You can require approval.
    You may configure the Service so that some or all categories of work require human review before deployment, and you may switch autonomous execution off entirely. It is your responsibility to choose the level of autonomy appropriate to your business.

  • Limits and controls.
    You may set limits such as budget caps, surface restrictions, excluded products and content rules. Where a limit is available in the Service and you do not set it, the Service may operate up to the platform’s own limits.

  • Merchant and advertiser of record.
    You remain the merchant of record for your sales and the advertiser of record for your campaigns. Prodred acts as your service provider and never as the seller, publisher or advertiser of the content it deploys.

  • Oversight.
    You should monitor the activity log and the outputs deployed on your surfaces. If something is wrong, pause the relevant workflow or disconnect the account, and tell us at support@prodred.com so we can help.

5) Advertising, media spend and platform decisions

  • Media spend is yours.
    All media spend is incurred on your own platform accounts and billed to you by the platform. Prodred does not assume liability for media spend, platform invoices, chargebacks, currency conversion or platform billing errors, and does not guarantee any level of efficiency for that spend.

  • Platform review is theirs.
    Platforms decide independently whether to approve, reject, restrict, label or remove creative and campaigns, and whether to restrict or suspend an account. We are not responsible for those decisions, for the policies behind them, or for any loss caused by them.

  • Compliance.
    You are responsible for ensuring that the claims, offers, pricing and creative deployed on your surfaces comply with advertising law, consumer protection law and sector rules that apply to your products and markets. The Service includes controls to help you enforce your rules; it does not provide legal or regulatory advice.

6) Your content, our outputs

  • Definitions.

    • “Customer Content” means the material and information you provide or make available to Prodred, including product images and video, product data and catalogue feeds, brand guidelines, palettes, copy, prompts and instructions, and data we read from your connected accounts.

    • “Outputs” means the work the Service creates for you, including images, video, product detail page copy, landing pages and ad creative, together with the campaign configurations it produces.

  • Ownership.
    You retain all rights in your Customer Content. Subject to applicable law and third-party rights, we assign to you the rights we may hold in the Outputs created for you, excluding our underlying models, software, platform and intellectual property, which remain ours.

  • Licence to operate the Service.
    You grant us a worldwide, royalty-free licence to host, process, transmit, adapt and publish your Customer Content and Outputs to the extent needed to run the Loop for you, including deploying them to your connected surfaces, and to troubleshoot, secure the Service and meet legal obligations.

  • Rights clearance.
    You confirm that you hold the rights needed for us to use, adapt and publish your Customer Content in this way, including rights in products, logos, photography, music, fonts and the likeness of any person appearing in the material you supply.

  • Feedback.
    If you give us feedback, we may use it without restriction.

7) Your brand model

  • A model for your brand alone.
    Prodred builds a brand-specific model for you, trained on your own products, palettes and visual language. We refer to it as your brand model. It sharpens as you approve assets and as results come back from your surfaces.

  • Not shared with other customers.
    Your Customer Content and your brand model are used to serve you only. We do not use them to train models that serve any other customer, and we do not make your brand model available to anyone else.

  • General improvement.
    We may use aggregated and de-identified operational information, such as reliability, latency and error rates, to run and improve the platform. This does not include your brand assets, catalogue data or commercial results in identifiable form.

  • Deletion.
    You may ask us to delete your brand model at any time by writing to privacy@prodred.com. We will delete it within a reasonable period, subject to backup cycles and any retention required by law. Deleting the brand model resets the learning it holds and the Service will start again from your then current Customer Content.

8) Performance data

  • What flows back.
    Where you connect commerce, analytics and advertising accounts, the Service reads results such as conversion, revenue, engagement and return on ad spend, and uses them to decide what to create, deploy, keep and retire for you.

  • Accuracy of measurement.
    Measurement depends on the platforms, the tracking you have in place and the consent choices of your visitors. Figures shown in Prodred may differ from platform or finance reporting, and should not be treated as the record of account.

  • Use.
    Your performance data is used to serve you and to secure and support the Service. It is subject to the same restriction as your brand model: it is not used to train models serving other customers.

9) Accuracy and review

  • Automated systems make mistakes.
    Generated visuals, video and copy can contain errors and artefacts, and automated decisions can be wrong. Review outputs, particularly product claims, pricing, sizing, materials, logos and any text rendered in an image, before or shortly after they go live.

  • Faithful representation.
    You are responsible for ensuring that Outputs accurately represent the products you actually sell and do not mislead consumers about quality, fit, materials, availability or features.

  • Not a system of record.
    Outputs and configurations produced by the Service are not a substitute for your own commercial, tax, legal or compliance records and processes.

10) Acceptable use

You agree not to:

  • Break the law or infringe third-party rights, including intellectual property and privacy rights.

  • Connect an account you are not authorised to use, or grant permissions you are not entitled to grant.

  • Upload material you do not have the right to use, including unreleased or confidential material belonging to someone else.

  • Attempt to extract source code, model weights or underlying datasets, or to derive another model from the Service.

  • Use the Service to create deceptive or harmful content, including misleading claims, imagery of people who have not consented, sexual imagery involving anyone who has not consented or who is a minor, discriminatory content, or content that incites violence.

  • Use the Service to circumvent a platform’s policies, review systems or rate limits.

  • Overload, probe or interfere with the platform.

We may suspend or terminate accounts, or pause autonomous execution, where these Terms are breached or where platform integrity, security or a connected account is at risk.

11) Third-party services

The Service depends on third-party infrastructure and on the commerce, advertising and analytics platforms you connect. Their terms, policies, availability, rate limits and interface changes apply to you directly and are outside our control. We are not responsible for those services, and interruption or change on their side may interrupt or change the Service.

12) Confidentiality

We will protect your non-public information, including unreleased products, campaign plans and commercial results, using reasonable administrative, technical and physical safeguards. Additional confidentiality, security and data-processing commitments may be agreed separately, including in a data processing agreement.

13) Term and termination

You may cancel at any time in your account settings. We may suspend or terminate for breach, abuse, non-payment or legal risk. On termination your right to use the Service ends, autonomous execution stops, and connected-account access is revoked. Content already published to your surfaces remains under your control and is not automatically removed. We may delete your data, including your brand model, after a reasonable period unless the law requires us to retain it.

14) Disclaimers and no guarantee of results

The Service and the Outputs are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant error-free or uninterrupted operation, continued availability of any platform integration, or that Outputs will meet any particular retail, platform or regulatory standard.

We do not guarantee any commercial result. Results described on our website, in case studies or in proposals are examples of what other brands have experienced. They are not a promise, forecast or warranty of the revenue, conversion rate, engagement, return on ad spend or any other outcome you will achieve.

15) Limitation of liability

To the maximum extent permitted by law:

(a) We will not be liable for indirect, special, incidental, consequential, exemplary or punitive damages, or for lost profits, revenue, data or goodwill, including losses arising from media spend, campaign performance, platform decisions, or content deployed by the Service within the permissions you granted; and

(b) our total liability for any claim relating to the Service will not exceed the amounts you paid to Prodred in the twelve months before the event giving rise to the liability.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

16) Indemnity

You will defend and indemnify Prodred against claims arising from your Customer Content, from your products, offers or claims, from your use of the Service in breach of these Terms, from your platform accounts and their compliance with platform terms, or from your violation of law or third-party rights.

17) Export, sanctions and regulatory

You must comply with all applicable export control and sanctions laws. You may not use the Service if you are located in, or acting for the benefit of, a prohibited jurisdiction or party.

18) Governing law and dispute resolution

The governing law and the forum for disputes are those set out in the order form or written agreement that applies to your subscription. Where none is specified there, Prodred will specify the governing law and forum in these Terms, and will give notice before that specification takes effect. Each party will use reasonable efforts to resolve a dispute in good faith before starting proceedings.

19) Updates to these Terms

We may update these Terms from time to time. We will post the effective date above. If changes are material, we will give reasonable notice. Continued use after the effective date means you accept the updated Terms.

Privacy Policy

This Privacy Policy explains how Prodred processes personal data when you use our growth execution platform for ecommerce, including the data we read from the accounts you connect.

Most of the data Prodred handles is business data about products, content and commercial performance. This Policy covers the personal data that comes with it.

1) Data we collect

  • Account and billing.
    Name, email address, password in hashed form, workspace and role, plan and usage records, payment tokens handled by our payment provider, and billing details.

  • Workspace and usage.
    Team memberships, permissions, feature usage, approval and activity logs, device information, logs and diagnostics.

  • Customer Content.
    Product imagery and video, catalogue and product data, brand guidelines and assets, copy, prompts and instructions, and the metadata needed to process them.

  • Connected account data.
    Access tokens and connection settings, and the data the connected platform exposes under the scopes you approve, such as catalogue and listing data, store and content configuration, campaign structures and budgets, and reporting.

  • Performance data.
    Conversion, revenue, engagement and return on ad spend metrics, usually in aggregated or reported form as provided by the platform. Where a connection returns event-level or customer-level data, we treat it as personal data and process it only to run the Service for you.

  • Outputs.
    The assets and configurations created for you, and records of where and when they were deployed.

  • Support.
    Communications you send us.

  • Cookies and similar technologies.
    To operate the site and product, remember preferences, analyse usage and improve performance.

2) How we use data

  • Provide, maintain and secure the Service.

  • Run the Loop for you: read context and results, create work, deploy it to your connected surfaces, measure it and improve it.

  • Build, train and refine your brand model.

  • Prevent abuse, troubleshoot and keep the platform reliable.

  • Communicate about the Service, including transactional messages and alerts about connected accounts.

  • Improve the platform using aggregated and de-identified operational information.

  • Comply with law and enforce our Terms.

3) Your brand model and model training

  • Single-tenant by design.
    Your Customer Content, connected account data and performance data train your brand model only. We do not use them to train models that serve other customers, and we do not use them to train general foundation models.

  • Improvement over time.
    Approvals, rejections and measured results feed back into your brand model so that later work is closer to your brand and performs better on your surfaces.

  • Deletion of the brand model.
    You can ask us to delete your brand model at any time by writing to privacy@prodred.com, without closing your account.

  • Third-party models.
    Where a step in the Loop uses a third-party model provider, we contract for your data not to be used to train that provider’s models.

4) Automated action and oversight

Once you enable it, the Service takes actions on your connected accounts without a person approving each one, within the permissions and limits you set. These actions relate to your commercial content and campaigns. They are not decisions about individuals, and the Service is not designed to make decisions that produce legal or similarly significant effects on any individual. You can require human approval, set limits, review the activity log and pause execution at any time.

5) Sharing

We share data with:

  • Service providers such as cloud and compute providers, storage, model providers, authentication, analytics and payments, bound by confidentiality and data-protection obligations.

  • Platforms you connect, when we deploy content, manage campaigns or read results on your instruction. Their handling of that data is governed by their own terms and privacy notices.

  • Integrations you enable, such as single sign-on or asset management systems.

  • Legal and regulatory recipients, where required by law or to protect rights and safety.

  • We do not sell personal data.

6) International transfers

If we transfer data across borders, we use lawful transfer mechanisms and appropriate safeguards so that the data stays protected.

7) Security

We use reasonable administrative, technical and physical safeguards, including encryption in transit and at rest where applicable, access controls, credential and token isolation, scoped permissions for connected accounts, and logging of actions taken on your behalf. No system is perfectly secure.

8) Retention and deletion

  • Customer Content, Outputs and performance data are retained as needed to run the Service and to meet legal obligations.

  • Access tokens for connected accounts are held only while the connection is active and are deleted or revoked when you disconnect.

  • You can delete files and assets from your account, and can request deletion of your brand model. Backups may persist for a limited period.

  • On account closure we delete or anonymise personal data within a reasonable period, unless retention is required by law or to resolve a dispute. Content already published to your own surfaces stays there until you remove it.

9) Your rights

Depending on where you are, you may have rights to access, correct, delete, port or restrict the processing of your personal data, and to object to certain processing. You can exercise these rights in your account or by contacting privacy@prodred.com. Where we process personal data on behalf of a customer as a processor, we will refer the request to that customer and support them in responding.

10) Children

Prodred is a business tool and is not directed to children. We do not knowingly collect personal data from children.

11) Legal bases

Where applicable data protection law requires a legal basis, we rely on:

  • Contract, to provide the Service and to act on the instructions you give through connected accounts.

  • Legitimate interests, for security, reliability, abuse prevention and platform improvement.

  • Consent, where required, for example marketing and certain cookies.

  • Legal obligation.

12) Communications and marketing

We send transactional messages about your account, your connections and actions taken on your behalf. You can opt out of marketing emails using the unsubscribe link; you cannot opt out of essential service messages while your account is active.

13) Third-party links

We are not responsible for the privacy practices of third-party sites or services linked from Prodred.

14) Changes to this Policy

We will update this Policy from time to time. We will post the date above and, where required, notify you of material changes.
